I think it boils down to incompetence and delusion.
The board were terrified of the massive wage bill in the Championship, so they asked for larger than normal wage reduction clauses.
In turn the agents requested additional cover for their clients in addition to the standard relegation release clause ( the loan clause).
So we agreed but with the delusion that we were too good too go down (as Radz said) and that even if we did clubs would be cueing up to sign our players permanently and trigger the transfer clauses not the loan ones.
We overestimated how good the players were and paid too much in the first place, we were naive and stupid and incompetent.
And no way the 49ers didn't know about the clauses, I imagine being as clueless as they are about football they just didn't see the risk and listened to Orta and Kinnear (who they were planning on keeping on)
